General terms

These Terms of Service govern your access to and use of Centora's website, planning tools and advisory services. Centora provides values-centered business planning and related advisory services tailored to client objectives and personal values. Using our services indicates you accept these terms. Where a separate engagement letter is signed, its terms apply alongside these terms. Our role is to provide informed guidance and implement agreed actions; any business decisions remain yours.

Eligibility

To use Centora services you must be legally able to form binding contracts and provide accurate identification. Certain services may require completion of client onboarding and suitability checks.

Users must be at least 18 years old to create an account and engage Centora's services independently. Minors may participate only with parental or guardian involvement and consent.

You agree to use Centora services for lawful purposes only, and not to submit content that violates laws or the rights of others.

Centora operates from Singapore and provides services in jurisdictions where permitted. Access may be restricted in certain countries due to regulatory or operational limits.

Account information and responsibilities

When you create an account with Centora you are responsible for maintaining accurate information and securing your access credentials. Accurate client information ensures planning aligns with your values and business circumstances.

You must provide complete and accurate information during onboarding and update Centora promptly when your circumstances change. Decisions based on outdated information may not meet your objectives.

Protect your account credentials. Notify Centora immediately if you suspect unauthorized access. We will take reasonable steps to assist in securing your account.

Accounts are personal and non-transferable. You may not assign your rights or delegate obligations under these terms without prior written consent from Centora.

Centora may suspend or restrict access to accounts for security concerns, suspected fraudulent activity, or material breach of these terms. We will notify you of reasons for suspension where possible.

Our services

Centora offers services focused on values-centered business planning, including discovery, strategy development, implementation support and periodic reviews. Services are delivered based on the engagement scope agreed in writing. We provide informed recommendations but final decisions rest with you.

We may update service features, methodologies or delivery channels. Material changes to service offerings will be communicated in advance when feasible so clients can consider any impact on their plans.

Service availability can be affected by third-party providers, systems maintenance or events beyond our control. We strive to maintain reliable access and will notify clients of planned outages.

User rules and acceptable use

To maintain a professional, secure environment, users must follow these rules when accessing Centora services.

  • Use the services only for legitimate, lawful purposes aligned with these terms.
  • Do not attempt to disrupt, probe or reverse-engineer our systems or content.
  • Do not submit defamatory, abusive or infringing content.
  • Respect other users, advisors and third parties; harassment is prohibited.
  • Do not share account credentials or permit unauthorized access.
  • Comply with applicable laws and regulatory obligations when using commitment or custody services.
  • Report suspected security incidents or misuse to Centora promptly.

User content

You may upload documents, goals, values statements and other materials to support the planning process. Treat the platform as a secure workspace for information relevant to your plan.

You retain ownership of the user content you provide to Centora. By submitting content you confirm you have the right to share it and that it does not infringe third-party rights.

By uploading content you grant Centora a non-exclusive, worldwide, royalty-free license to use, store and process that content for the purpose of delivering services and improving client experience.

You are responsible for the accuracy and legality of content you upload, and for obtaining any necessary consents from co-owners or other affected parties.

Centora may remove content that violates these terms or which is unlawful. You may request removal of your content in line with the privacy rights procedures.

Intellectual property

All intellectual property rights in Centora’s site, content, tools and branded materials are owned or licensed by Centora. You are granted a limited right to use our content for personal, non-commercial planning purposes only.

  • Do not copy, reproduce or distribute Centora content for commercial purposes without permission.
  • Do not remove proprietary notices or activity from content.
  • Respect third-party intellectual property rights and report any suspected infringements.

Paid services and fees

Some Centora services are fee-based. Fees and the scope of paid services will be set out in engagement documents or pricing pages before you commit.

Pricing for advisory packages or subscription services is published on our site or quoted in client proposals. Fees reflect the scope of work, complexity and ongoing support required.

Payments can be made by the methods we accept at the time of billing. Fees are payable in the currency specified and are due according to the invoice terms.

Subscription services renew automatically unless cancelled in accordance with the cancellation terms. You may manage subscription preferences through your account or by contacting Centora.

Refunds are handled case-by-case and subject to the terms of the specific service agreement. We assess refund requests based on work performed and any third-party costs incurred.

To cancel paid services, follow the process described in your engagement letter or contact our client services team. Cancellation terms may vary by product.

You are responsible for any taxes applicable to fees paid for our services. Where required, Centora will collect taxes in accordance with local law.

We may update prices from time to time. Existing clients will be notified in advance of material price changes affecting ongoing services.

Failure to pay fees may result in suspension of services, delayed deliverables or termination of the engagement in accordance with the agreement.

Professional and informational disclaimer

Information and planning materials provided by Centora are for educational and advisory purposes. Where specific recommendations are provided, they are based on information you supply and our professional judgment. Commitment outcomes are influenced by market conditions and individual choices; Centora provides analysis and implementation support but the results of business decisions cannot be predicted with certainty.

Limitation of liability

To the extent permitted by law, Centora's liability arising from the use of our services is limited to direct losses caused by willful misconduct or gross negligence. We are not liable for indirect, incidental or consequential losses, or losses resulting from third-party service interruptions. This limitation is subject to statutory rights that cannot be excluded under applicable law.

Third-party services and referrals

Where Centora introduces third-party providers (custodians, product providers or specialists), any contract with those providers is between you and the provider. Centora does not control third-party policies and is not responsible for their acts or omissions.

Termination

Either party may terminate an engagement in accordance with the notice provisions in the engagement letter. Centora may suspend or terminate services for material breach, non-payment or conduct that poses a regulatory or reputational risk.

On termination you remain liable for fees incurred up to the termination date. We will cooperate on an orderly transition of records and, where applicable, provide final deliverables upon settlement of outstanding fees.

Privacy and data protection

Centora handles personal data in accordance with our Privacy Policy. By using our services you consent to the collection, use and disclosure of your personal information as described in that policy.

Communications

By engaging Centora you agree to receive communications related to services and account administration. For marketing communications we will respect your preferences and provide opt-out options. Official notices will be sent to the contact details you provide.

Changes to these terms

Centora may update these Terms of Service to reflect operational or legal changes. We will publish the revised terms on our website and indicate the effective date. Material changes affecting existing engagements will be communicated in advance where practicable. Effective date: 13-04-2026.

Governing law

These terms are governed by the laws of Singapore. Any disputes will be interpreted in accordance with Singapore law, subject to the dispute resolution provisions below.

Dispute resolution

If a dispute arises, please contact Centora so we can seek an amicable resolution. If we cannot reach agreement, disputes may be resolved through mediation or the courts of Singapore as agreed between the parties.
